2- تتضمن الموافقة على هذا الإتفاقية الموافقة على قائمة الشروط والأحكام الخاصة بالتطبيق والواردة في الموقع الالكتروني https://api.rab7.com/v1/btncpp/ar

3- تُمَكِن منصة رابح Rab7 أن يقوم التاجر بالاطلاع على عدد الطلبات التي تمت عن طريق التطبيق، كما تلتزم منصة رابح Rab7 بسداد الرصيد المستحق للتاجر عن قيام العملاء مستخدمي التطبيق بالدفع مقابل الطلبات بواسطة بطاقات الائتمان أو بطاقات مدى أو أي وسيلة دفع إلكترونية للطلبات التي تمت عبر التطبيق وذلك خلال من 3 إلى 8 يوم عمل من استلام المدفوعات الالكترونية بشرط تجاوز رصيد التاجر 100 ريال وذلك بعد إجراء التسويات المالية اللازمة وسيتم احتجاز مبلغ 50 ريال تأمين لمرة واحدة.

4- تلتزم منصة رابح Rab7 على أن يتلقى التطبيق طلبات العملاء لشراء منتجات التاجر ويقوم التطبيق بإبلاغ التاجر إلكترونيا بجميع الطلبات حتى يقوم التاجر بتجهيزها وتسليمها للعميل خلال الوقت المناسب مباشرة او عن طريق مندوبي التوصيل المسجلين لدى التاجر بحسب الطريقة المتبعة بالتطبيق . أي انها تلتزم بقيامها بتسويق المنتج من خلال الحساب الخاص به على منصة رابحRab7 بالشكل المباشر مع المستهلك بالكيفية المتعارف عليها والتي من شأنها استلام وتسلم السلعة وقبض المقابل النقدي عن طريق الدفع الإلكتروني في حساب الخاص لمنصة رابح Rab7 على ان يحول قيمه السلعة الى التاجر بعد خصم مقابل التسويق المتفق عليه من قيمه المنتج بعد خصم النسبة الخاصة للمستهلك عملا بمبدأ النقاط غير شامل الترويج المدفوع بعد خصم مقابل استخدام خدمات التطبيق ورسوم بوابة الدفع

5- منصة رابح Rab7 هي المسئولة عن انشاء الحساب المشترك بين منصة رابح Rab7 والتاجر في بوابه الدفع الالكتروني على ان يتم تحويل المدفوعات الالكترونية للتاجر مرورا بمنصة رابح Rab7 في محفظة التاجر على بوابة الدفع بعد خصم الرسوم المتفق عليها في الإتفاقية المتفق عليها في الشكل المتفق عليه

ثالثا التزامات التاجر: -

1- يلتزم التاجر بحق منصة رابح Rab7 في استعمال الشعارات والصور والاسم والعلامة التجارية للتاجر من خلال التطبيق وفي الحملات الترويجية والدعائية.

2- يلتزم التاجر على أن يقوم بتزويد التطبيق بجميع المنتجات التي يقدمها التاجر بنفس الأسعار التي يقوم بتقديمها في محل عمله ويتعامل بها مع باقي العملاء حتي يتمكن التطبيق من إظهارها وطرحها للعملاء الموجودين في السوق.

3- يلتزم التاجر في حالة استلامه طلبا من التطبيق وتم إلغاء الطلب لأي سبب، بسداد عمولة الاسترجاع النقدي للعميل و بعدم الاعتراض على استرجاع قيمة الطلب للعميل.

4- يلتزم التاجر على أن يقوم بتغطية رسوم المعاملات الخاصة بطرق الدفع الالكترونية المختلفة وهي : مدى 1.75% + 1 ريال ، بطاقات الائتمان المحلية 2.75% + 1 ريال ، بطاقات الأتمان الدولية والخليجية 3.75% + 1 ريال وضريبة القيمة المضافة وسيتم تطبيق الرسوم المصرفية على جميع الطلبات بما في ذلك الإلغاء وفي حال زيادة أي من الرسوم المذكورة من قبل الجهات المعنية تحرص منصة رابح Rab7 على إشعار التاجر بتلك الزيادة في الرسوم.

5- يلتزم التاجر بسداد أي رسوم مستحقة للطرف الأول (الشركة) وذلك في خلال 15 يوم بعد اتمام المبيعات والتي لم يتم تسويتها وذلك من خلال المدفوعات الالكترونية.

6- يلتزم التاجر بالتأكيد أن البيانات الخاصة به مطابقة وصحيحة من حيث: تواجد الأصناف، التسعير ومواعيد العمل ويؤمن التطبيق للتاجر إمكانية إضافة وتعديل هذه البيانات بنفسه تلقائيا ويتحمل التاجر تبعات عدم الالتزام بذلك دون وجود أي مسئولية على منصة رابح Rab7

7- يلتزم التاجر بضمان صلاحية المنتجات والموجودة على حساب التاجر بالتطبيق دون وجود أي مسئولية على منصة رابح Rab7

8- يوافق التاجر أن تقوم منصة رابح Rab7 بتسجيله في بوابة دفع الكترونية والتي ستقوم منصة رابح Rab7 بتحويل مستحقات التاجر من خلالها وسيكون التاجر مسئول عن حسابه في بوابة الدفع.

9- يلتزم التاجر بقيامه بصرف القسائم والخصومات والمكافئات والنقاط والخصومات العينية والنقدية للعملاء ويتحمل التاجر تبعات عدم الالتزام بذلك دون وجود أي مسئولية على منصة رابح Rab7

10- يلتزم التاجر بحماية سرية كلمة السر المخصصة له – أن وجدت- وان يضمن عدم الكشف أو الإفصاح عنها تحت أي ظرف أيا كان لأى شخص أو أشخاص أيا كانوا و أن يتحمل كامل المسؤولية وكافة الأجور/ الرسوم والخسائر أو الضرر/ الأضرار الناشئة عن أي استخدام لبيانات التعريف بالمستخدم و / أو كلمة السر المخصصة أيا كان الشكل الذي يحدث فيه ذلك بما في ذلك البيانات الخاصة بحساب التاجر على بوابة الدفع.

11- يلتزم التاجر بعدم نشر أو تحميل على التطبيق اية بضائع او منتجات ذات طبيعة مسيئة للسمعة أو مخلة أو فاحشة أو غير محتشمة أو ذات موضوع أو اسم أو مادة أو معلومات غير قانونية أو غير مشروعة او مخالفة للشريعة الإسلامية ويتحمل التاجر تبعات عدم الالتزام بذلك دون وجود أي مسئولية على منصة رابح Rab7

12- يلتزم التاجر باعتبارات خصوصية العملاء ومستخدمي التطبيق على الشبكة وعدم إفشاء أي من معلوماتهم لأي أطراف خارج هذا الإتفاقية والالتزام بسياسة الخصوصية الواردة في https://api.rab7.com/v1/btncpp/ar

13- يلتزم التاجر انه و في حالة رغبته في عرض اعلانات على التطبيق فإن هذه الإعلانات والعروض الترويجية تكون مقابل مادي مسبق الدفع غير مسترد ويتم استخدامه في عمليات الترويج المدفوع فقط.

14- يلتزم التاجر بمرعاة ضوابط الإعلان التجاري الالكتروني المصدرة من وزارة التجارة دون أدنى مسئولية على منصة رابح Rab7.

15- يقوم التاجر بشحن محفظة الحملات الإعلانية المدفوعة عن طريق سداد مبلغ نقدي حسب عدد النقاط المطلوبة وتكون مدة صلاحية النقاط سنة من تاريخ الشحن ولا يجوز للتاجر استبدال هذه النقاط بمبالغ مالية خلال فترة صلاحيتها او بعد انتهائها، ولمنصة رابح Rab7 تحديد تسعيرة النقاط الخاصة بخدمات الاعلانات الترويجية.

16- يلتزم التاجر باستصدار التصاريح اللازمة لعمل العروض والتخفيضات دون أدنى مسئولية على منصة رابح Rab7 .

17- يلتزم التاجر بصحة وقانونية وسارية المفعول كل البيانات والوثائق و المستندات بما في ذلك المعلومات البنكية وتكون المعلومات البنكية مرتبطة بالسجل التجاري.

18- يلتزم التاجر بأن البيانات البنكية التي وضعها في إعدادات الملف الشخصي داخل التطبيق هي نفسها الموجودة في الإتفاقية.

19- يلتزم التاجر بتعويض عملاءه عن المبالغ المضافة لمحافظ العملاء المقدمة من منصة رابح Rab7 لعملاء التاجر بغرض التسجيل أو عن طريق الإعلان والمبنية على الخصم المقدم من منصة رابح Rab7 في أسعار الإعلانات أو أي أغراض أخرى.

20- يلتزم التاجر بعدم اعتراضه على ان تحتفظ منصة رابح Rab7 في الحق في إنهاء الإتفاقية في أي وقت في حال مخالفة أي من هذه الشروط والاتفاقات مع أحقية منصة رابح Rab7 في طلب التعويض عن المبالغ الغير مستردة من عملاء التاجر حتى تقوم منصة رابح Rab7 بتعويض العملاء بشكل مناسب ، أو في حال أساء التاجر استخدام التطبيق بأي شكل من الأشكال من خلال الغش والاحتيال او فيما تراه منصة رابح Rab7 من مصلحة التطبيق.

21- يوافق التاجر أن تقوم منصة رابح Rab7 بتيسير التعاقد بينه وبين شركات الخدمات اللوجستية (الطرف الثالث) دون أي مسئولية مباشرة أو غير مباشرة تقع على منصة رابح Rab7 جراء هذا التعاقد.

22- يفوض التاجر منصة رابح Rab7 بإختيار شركات الخدمات اللوجستية (الطرف الثالث) والمطروحة للتعاقد على منصة رابح Rab7 بعد الإطلاع الكامل على مواصفات العرض المقدم من الشركة (الطرف الثالث) محل التعاقد والذي يتضمن رسوم التوصيل، منطقة التغطية ... إلخ من مواصفات العرض الإطلاع النافي للجهالة وأنه يوافق على اختيار التعاقد معها طواعية والقبول بالعرض المقدم حسب متطلبات العمل لديه.

23- يوافق التاجر أن تقوم منصة رابح Rab7 باقتطاع رسوم التوصيل من القيمة الإجمالية لطلبات (العميل) وتحويلها إلى حساب شركات (الطرف الثالث)

رابعا :الخدمات الإستراتيجية واللوجستية ( خدمات الطرف الثالث ) :

1- قدّ توفّر منصة رابح Rab7 بعض الخدمات الإستراتيجية أو اللوجستية عن طريق طرف ثالث أو أطراف ثالثة ، وقدّ تكون هذه الخدمات على سبيل المثال لا الحصر : خدمات شركات الشحن وتوصيل المنتجات والبضائع تسهيلًا وتعاونًا منها ولمساعدة مستخدمين منصة رابح Rab7.

2- منصة رابح Rab7 غير مسئولة بشكل مباشر أو غير مباشر عن أي تصرفات تصدُر من أي طرف ثالث وأن ما تقوم به هو مجرد ربط بين التاجر ومُقدِم الخدمة (الطرف الثالث ) .

3- في حال تقدّم التاجر بطلب خدمة مقدّمة عن طريق ( طرف ثالث) فإن التاجر بهذا التصرّف يصرّح لمنصة رابح Rab7 ويمنحها الإذن بتزويد مقدم الخدمة ( الطرف الثالث ) بالبيانات التي يطلبها ، وغير ذلك من البيانات التي يحتاجها مقدّم الخدمة ( الطرف الثالث ) ، ويكون ذلك وفقاً لقواعد وأحكام سياسة الخصوصية وسرية المعلومات المعمول بها لدى منصّة رابح Rab7.

4- يلتزم الطرف الثالث بإلتزامه الكامل بكافة الإشتراطات والقواعد التي يتطلبها النظام السعودي للقيام بعمليات النقل والتوصيل اللوجيستي ويتحمل المسئولية الكاملة تجاه أي خرق أو عدم إلتزام.

5- يوافق الطرف الثالث على على أن تقوم منصة رابح Rab7 باقتطاع الرسوم التي تم التعاقد عليها بين التاجر والطرف الثالث ويقوم بتحويلها مباشرة إلى حساب الطرف الثالث.

6- يلتزم (الطرف الثالث) بأنه مسئول عن توصيل طلبات وشحنات (التاجر) حسب الإجراءات والتعليمات المنصوص عليها بمنصة رابح Rab7 وأن يتم بتوصيلها بالهيئة المناسبة لطلب (العميل) حتى لا يتعرض لخصم رسوم التوصيل وإيقاف خدامته على منصة رابح Rab7

7- يلتزم (الطرف الثالث) بتقديم كافة البيانات الخاصة بتسجيله على المنصة والتي تتضمن على سبيل المثال لا الحصر، قوائم السائقين وأرقام جوالاتهم ورسوم التوصيل ومنطقة التغطية وتكلفة الكيلومتر الزائدة إلى غيره من المواصفات الفنية التعاقدية.

8- يلتزم (الطرف الثالث) بحق منصة رابح Rab7 في خصم أيا من مستحقاته أو الإيقاف الكامل لخدماته على المنصة إذا تم خرق المواصفات الفنية المقدمة منه أو أيا من الإشتراطات الخاصة بمنصة رابح Rab7 بأي صورة من الصور أو بأي شكل من الأشكال المعتبرة للمنصة.

خامسا:- التزم الأطراف :-

1- اتفق الأطراف على أن ينضم (التاجر) لمنصة رابح Rab7 ويستفيد من كامل الخدمات المقدمة عبر التطبيق (عدا الإعلانات الممولة أو أي خدمات مدفوعة مسبقاً) نظير سداد مقابل نقدي قيمته 1 ريال عن الطلبات التي تتم عبر التطبيق بقيمة تتجاوز 30 ريال للطلب غير شامل ضريبة القيمة المضافة.

2- اتفق الأطراف على تسوية حسابات كافة العمليات التي تتم عن طريق منصة رابح Rab7 (وذلك بإجراء المقاصة بين المبالغ التي حصلتها منصة رابح Rab7 من العملاء عن طريق الدفع الالكتروني بالتطبيق وبين ما هو مستحق لمنصة رابح Rab7 من نسبة المبيعات الخارجة عن الدفع الالكتروني داخل التطبيق بالإضافة إلى رسوم بوابة الدفع وأي رسوم أخرى أو أي خدمات أخرى تدخل ضمن الحساب ويكون تحويل المبالغ النقدية المستحقة للتاجرعن طريق المحفظة المسجلة للتاجر في بوابة الدفع والتي تحمل بيانات التاجر البنكية.
مع التزام التاجر بالبيانات البنكية التي وضعها في إعدادات الملف الشخصي داخل التطبيق

3- اتفق الأطراف على ان تكون مدة هذا الإتفاقية سنة ميلادية تبدأ من تسجيل التاجر على منصة رابح Rab7 ويجدد هذا الإتفاقية لمدد اخرى مماثلة ما لم يخطر احد الطرفين الطرف الاخر برغبته في عدم التجديد وذلك قبل انتهاء مدة الإتفاقية المنصوص عليها سلفا بـــ 90 يوما على الاقل او بالبريد الاليكتروني وسيتم إنهاء الإتفاقية الحالي ويحق للطرفين عند تجديد هذا الإتفاقية تعديل الاسعار وشروط الإتفاقية وفقا لما يتراءى لهما هديا بأسعار السوق وفي حال انسحاب التاجر من التطبيق ستقوم منصة رابح Rab7 بحذف كل حسابات و أرصدة العملاء لدى التاجر ولمنصة رابح Rab7 الأحقية بإرسال اشعارات للعملاء بذلك.

4- التزم الأطراف على تطبق الشروط والاحكام العامة على كل من الطرفين في حساب الضرائب والسجل والغرفة التجارية بشكل منفرد ويتعهد كل طرف بتقديم المستندات الدالة على عدم وجود مديونيه للأشخاص الاعتبارية مانحه الترخيص عند بداية كل سنه ماليه على حده ويكون المسئول الوحيد عن صحه المستندات المقدمة.

5- التزم الأطراف على ان تكون مسئوليه طرفي الإتفاقية منفرده فيما يتعلق بالخدمة او السلعة من حيث البيانات والصلاحيات وموافقات الجهات الرقابية دون الرجوع على الطرف الاخر ما لم يكن للطرف الاخر نسبه مشاركه في الخطأ

6- التزم الأطراف على تطبيق احكام القانون بشأن المسئولية التعاقدية والتقصيرية على كلا من الاطراف بحسب حجم المسئولية ونسبه المسئولية واحكامها مطابقه للواقع وطبقا للمجرى العادي لسير الامور وطبقا لحرص الرجل المعتاد

7- يلتزم كل من الأطراف بما نص عليه القانون التجاري والقواعد المنظمة لاحتكار التعامل وايضا مبدا سريه المعاملات والمعلومات الخاصة بالنشاط او المنتج وتطبيق قواعد القانون المدني فيما بين الطرفين من بداية قيام العلاقة التعاقدية وفسخها وبطلانها وانتهائها

8- تخضع هذة الاتفاقية لأحكام الانظمة الواجبة التطبيق, وفي حالة نشوء أي خلاف بين الطرفين لا قدر الله, يتم حله بالطرق الودية ( التحكيم ) في مدة أقصاها (15) خمسة عشر يوما, وفي حالة عدم حل النزاع وديا يتم إحالته للقضاء للفصل فيه, وتكون محاكم الرياض هي المختصة بالفصل في أي نزاع قد ينشأ بين الطرفين لأثارها القانونية.
